Athentra Terms of Service

By accessing or using Athentra’s services, including free trials or beta releases (“Services”), you (“Customer”) agree to these terms. You represent that you have the authority to bind your organization to this agreement. If you do not have such authority, do not use the Services.

Definitions

  • Customer Data: Any data provided by Customer, or generated through use of the Services, including configurations, logs, or content.

  • User: Any person who uses the Services under Customer’s account, whether authorized or not.

  • Services: The offerings provided by Athentra, including software access, features, support, and updates.

Services & Access

  • License Grant
    Athentra grants Customer a limited, non-exclusive, non-transferable right to use the Services during the subscription term, in accordance with these Terms and any related Order Form.

  • Support & Maintenance
    Athentra will provide maintenance and support, including bug fixes, functionality updates, and email support during its standard support hours (e.g., 9 AM–5 PM AEST Mon–Fri).

License Restrictions

Customers must not:

  • reverse engineer, decompile, or disassemble the Services,

  • remove proprietary notices,

  • sublicense or resell the Services,

  • use the Services in violation of laws or export regulations.

Customer Obligations

  • Ensure only authorized Users access the Services.

  • Secure and maintain confidentiality of login credentials.

  • Comply with applicable laws regarding data and privacy.

Fees & Payment

  • Subscription fees are outlined in applicable Order Forms and payable in advance.

  • Late payments may incur interest at the lesser of 1.5% per month or the maximum permitted by law.

  • Athentra may suspend access for non-payment after a grace period (e.g., 14 days).

Term & Termination

  • The term is as specified in your Order Form.

  • Either party may terminate for material breach if not cured within 30 days of notice.

  • Athentra may terminate immediately for non-payment or misuse.

  • Upon termination, Customers must cease use and destroy copies of proprietary content; Athentra may delete Customer Data within a specified period unless agreed otherwise.

 

Ownership & Rights

  • Athentra retains all rights, title, and interest in the Services and Intellectual Property.

  • Customer retains all rights to Customer Data.

  • Athentra may collect usage statistics in anonymized form to improve Services, provided no confidential Customer Data is exposed.

 

Confidentiality

  • Each party will maintain confidentiality of the other’s information and use it only per this agreement.

  • Confidential information remains so for 3 years post-termination (or longer if protected by law).

Warranties & Disclaimers

  • Limited Warranty: Services will perform materially in accordance with documentation.

  • Disclaimer: All other warranties are disclaimed to the maximum extent permitted by law.

  • Customer assumes responsibility for evaluating the adequacy of Services for its needs.

Limitation of Liability

Neither party will be liable for indirect, incidental, special, or punitive damages, even if advised of their possibility. Athentra’s aggregate liability for direct damages is capped at the subscription fees paid in the 12 months preceding the claim, except for wilful misconduct or gross negligence.

Governing Law & Dispute Resolution

  • This agreement is governed by the laws of Queensland, Australia.

  • The parties submit to the exclusive jurisdiction of the courts of that jurisdiction.

Notices & Assignment

  • Notices to Athentra must be sent to brisbane@packof7.au; notices to Customer go to their designated email.

  • Neither party may assign this agreement without the other’s written consent, except in business transfers.

Entire Agreement & Changes

  • These Terms, along with Order Forms and the Privacy Policy, constitute the complete agreement.

  • Athentra may amend these terms by posting updates or notifying via email; continued use constitutes acceptance of modified terms.
